Terms and conditions Sales Leadership Academy

The following are the terms and conditions that belong to the use of this website and all websites that fall under the Sales Leadership Academy. It concerns the purchase of trainings, workshops, lectures, coaching and seminars of Sales Leadership Academy and related products. All products/activities that are not part of Sales Leadership Academy's own portfolio are subject to the terms and conditions of the relevant supplier/organization. We will always mention this explicitly with those products/activities, together with the contact details of the supplier concerned.

Article 1 Definitions

1.1 These Terms and Conditions apply to all agreements between Sales Leadership Academy and participant(s) to courses, training, and other forms of course such as course, workshop, seminar, lecture, online training and the like (hereinafter referred to as: 'course').
1.2 A participant is defined as any natural or legal person with whom Sales Leadership Academy concludes an agreement to provide courses or who actually participates in the course, regardless of whether participant himself, or a third party participates in the course (hereinafter referred to as: 'participant').

Article 2 Formation of agreement

2.1 The agreement is established by the participant confirming a registration form from Sales Leadership Academy. Either digitally or on paper, or by confirmation by Sales Leadership Academy of his registration sent by e-mail.
2.2 Possible nullity / nullification of one or more provisions of these terms and conditions does not affect the validity and applicability of the remaining conditions. Sales Leadership Academy and participant will consult to replace any void / nullified provisions with provisions that are as close as possible to the purpose and intent of the void / nullified provisions.
2.3 Deviations from these Terms and Conditions are only binding if confirmed in writing by Sales Leadership Academy.

Article 3 Cancellation course

3.1 The participant has the right to cancel participation in, or the assignment for a course, by registered mail or by e-mail confirmed by Sales Leadership Academy.
3.2 The participant can cancel free of charge up to two months before the start of the participation/assignment.
3.3 The participant can cancel up to six weeks before the start of the participation/assignment at a cancellation fee of 50% of the participation fee, the remaining 50%, if already paid, will be returned.
3.4 The participant can cancel course up to 14 calendar days before the participation/assignment at a cancellation fee of 85% of the participation fee (a 15% refund of the participation fee will be made).
3.5 For cancellation less than 14 calendar days before the participation/assignment, or if the participant terminates participation after the first day or does not participate in the course for other reasons, the participant shall pay the full participation fee. Also, any outstanding installments of an agreed upon installment payment. The participant may be replaced by another legal entity or natural person, provided they meet the admission requirements for the relevant course . No costs are associated with replacement.
3.6 Sales Leadership Academy has the right - with clear reasons - to cancel the course , change the time or training location or refuse participation of a participant.

Article 4 Payment

4.1 Sales Leadership Academy charges the participation fee by means of a (digital) invoice. The participant must pay the participation fee 30 days before the first day, or if that date has already passed, no later than 7 days after being invoiced by Sales Leadership Academy. Payment is always required before the activity takes place. For long-term courses , if stated in the product information, an installment payment may be offered.
4.2 Travel, accommodation and location costs are not included in the participation fee, unless explicitly stated otherwise in the relevant brochure, or on the website or in an advertisement of Sales Leadership Academy.
4.3 Literature, examination and/or license fees are not included in the participation fee, unless explicitly stated otherwise in the relevant brochure, or on the website or in an advertisement of Sales Leadership Academy.
4.4 If payment is not made on time, the participant is obliged to reimburse Sales Leadership Academy for legal, judicial and extrajudicial collection costs reasonably incurred.

Article 5 Dissolution and Suspension

5.1 If the participant fails imputably in the fulfillment of his obligations under this agreement, or in case of serious doubt that the participant is able to fulfill his agreed obligations towards Sales Leadership Academy, Sales Leadership Academy has the right, as soon as the participant is in default, to terminate the agreement in whole or in part without the intervention of the court, or to suspend in whole or in part the execution of the agreement. Without prejudice to the provisions of the previous articles.
5.2 If in case of bankruptcy, suspension of payment, liquidation, cessation of business, transfer of business or in case of administration, receivership, receivership of (the assets of) the participant, the participant remains in default, Sales Leadership Academy has the right without prior notice and without judicial intervention to suspend the execution of the agreement in whole or in part or to dissolve in whole or in part. Without prejudice to the provisions of the preceding articles.
5.3 In case Sales Leadership Academy under the provisions of this agreement under 9.7 proceeds to dissolve in whole or in part or in whole or in part to suspend the agreement Sales Leadership Academy is not liable for any damages of any kind or in any form whatsoever. However, this does not affect the right of Sales Leadership Academy to compensation for damages resulting from the default of the participant. Article 6 Force Majeure

6.1 In the event that Sales Leadership Academy fails to fulfill its obligations under the present agreement due to a cause not attributable to Sales Leadership Academy, Sales Leadership Academy is entitled to temporarily and/or permanently suspend such fulfillment; any costs already paid by the participant in the event of interim dissolution due to non-performance and/or attributable failure by Sales Leadership Academy will be proportionately returned to the participant.
6.2 A cause not attributable to Sales Leadership Academy includes, but is not limited to, the stagnation of the normal course of business as a result of which fulfillment of obligations is not possible and/or opportune". This includes illness of staff and/or trainers, unavailability of the location, extreme weather conditions, war situations, nuclear disasters and natural disasters that impede the continuation of the course .

Article 7 Intellectual property

7.1 The copyright on the data carriers, brochures, training materials, (hand) books, sheets, checklists, stencils, models, manuals, flowcharts, CDs, DVDs, videos, online training courses and any other written materials used in the course , hereinafter referred to as 'materials', issued and made available by Sales Leadership Academy, is owned by Sales Leadership Academy. Unless another copyright holder is indicated on the work itself. Without the express written permission of Sales Leadership Academy, no data in any form from the materials will be published by the participant or reproduced in any way, or distribution in any way.
7.2 Also the copyright on program materials, writings both in written and digital electronic form, offers, letters, reports, reports, proposals, CDs, DVDs, etc. arising from the work of Sales Leadership Academy rests solely with the Sales Leadership Academy.
7.3 The manner of disclosure as described above is not exhaustive. Also in case of disclosure in other ways than described above, copyrights and other intellectual property rights are not transferred and remain with the Sales Leadership Academy.

Article 8 Execution by third parties

For activities or parts thereof, arising from the agreement, Sales Leadership Academy reserves the right to have them performed by one or more third parties. Sales Leadership Academy remains responsible for the proper execution of these activities.

Article 9 Liability

9.1 Sales Leadership Academy makes every effort to carry out the given course to the best of its knowledge and ability.
9.2 Sales Leadership Academy is towards the participant who is a legal entity or a natural person, acting in the exercise of a profession or business, only liable for damage that is the direct result of intent or deliberate recklessness, but up to an amount of the amount of the training fee per damaging fact, whereby a successive series of facts are considered as one fact.
9.3 Sales Leadership Academy is not liable for indirect damages such as consequential damages, lost profits and damage due to business stagnation.
9.4 Sales Leadership Academy is not liable in the event participant, or a third party, have the opportunity to appeal to an insurance company.
9.5 The assignment agreement and the relationship with the participant is governed by Dutch law. Disputes arising from the legal relationship shall be submitted exclusively to the Dutch courts for adjudication.
9.6 Sales Leadership Academy is not liable for any damage, material and / or immaterial, physical and / or psychological in any form whatsoever, caused by participation in and / or carrying out assignments in the course.
9.7 Sales Leadership Academy expressly reserves the right to expel the participant if he or she exhibits misconduct during participation in and/or carrying out assignments in the course.

Article 10 Reservation

10.1 Sales Leadership Academy reserves the right to modify the content and program of courses .
10.2 If Sales Leadership Academy has to cancel or cancel a training course due to the inability of a trainer/teacher or force majeure, Sales Leadership Academy will provide another meeting within a reasonable period of time.
10.3 Sales Leadership Academy cannot be held liable for costs and damages incurred by the participant for any reason.

Article 11 Other provisions

11.1 The personal data of the participant will only be used to optimize the services provided by Sales Leadership Academy and for the necessary communication between Sales Leadership Academy and the participant.
11.2 Trainings and courses take place subject to sufficient participation in the opinion of the Sales Leadership Academy.
11.3 Participant has fully understood the text of this agreement and declares through digital signature/check and confirmation by reading these terms and conditions to voluntarily commit to this agreement.
11.4 The original text of this agreement is available for inspection at the Sales Leadership Academy upon request.
11.5 These Terms and Conditions are governed by Dutch law. All disputes that may arise in connection with this agreement or further agreements, which may be the result thereof, shall be settled in accordance with the Rules of the Netherlands Arbitration Institute or, if Sales Leadership Academy chooses, the competent court of the place of business of Sales Leadership Academy.
